1. Acceptance of Terms

Welcome to Call Relay, owned and operated by Call Relay Inc. (collectively, "Call Relay", "we", "us", or "our"). Call Relay provides a platform that connects users seeking advice or conversation ("Callers") with users providing such services ("Experts") via telephone (collectively, the "Services"), accessible at www.callrelay.app (the "Site").

By using the Site and Services, you agree to comply with and be legally bound by these Terms of Service ("Terms"), whether or not you become a registered user. If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Site.

IMPORTANT: These Terms include a binding arbitration provision and class action waiver in the Dispute Resolution section below. Please read it carefully. Note that arbitration provisions may not be enforceable in all jurisdictions and may be subject to applicable laws.

2. Eligibility

The Services are intended solely for persons who are 18 or older. Any access to or use of the Services by anyone under 18 is expressly prohibited. By accessing or using the Services you represent and warrant that you are 18 or older.

3. How Call Relay Works

Call Relay is a technology platform that facilitates telephone connections between Callers and Experts. Call Relay acts solely as an interface to facilitate these communications and the corresponding payments.

No Endorsement: Call Relay does not provide advice, information, or consulting services. We do not verify the credentials, identity, or qualifications of any Expert. You understand and acknowledge that Experts are independent contractors, not employees or agents of Call Relay. We are not responsible for any information or advice exchanged between users.

4. User Accounts

To use the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Financial Terms

For Callers

• Fees: You agree to pay the per-minute rate set by the Expert for any calls you initiate. Rates are quoted in U.S. dollars.
• Billing: Charges are calculated based on the actual duration of the call. You authorize Call Relay to charge your payment method (via our third-party processor, Stripe) immediately upon the conclusion of a call.
• No Refunds: Because the Service is real-time interaction, all charges are non-refundable unless there was a technical failure of the Call Relay platform that prevented the connection.

For Experts

• Service Fee: In consideration for providing the Platform, Call Relay charges a Service Fee of 20% of the total transaction amount. You (the Expert) retain 80% of the Appointment Fees collected on your behalf.
• Payouts: Net earnings are remitted to you via Stripe. You must maintain a valid Stripe Connect account to receive payouts.
• Independent Contractor: You acknowledge that you are an independent contractor. You are solely responsible for determining your applicable tax reporting requirements and paying all applicable taxes on your earnings.

6. User Conduct

You agree not to:

• Use the Site for any illegal purpose or in violation of any local, state, national, or international law.
• Harass, threaten, demean, embarrass, or otherwise cause distress to another user.
• Circumvention: Solicit or provide contact information (such as phone numbers, email addresses, or handles) to other users for the purpose of making payments outside of the Call Relay platform ("Off-Platform"). Doing so is a violation of these Terms and may result in immediate account termination.
• Record calls without the consent of all parties, unless explicitly permitted by applicable law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALL RELAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Indemnification

You agree to release, indemnify, and hold Call Relay and its affiliates, officers, employees, and agents harmless from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind and injury (including death) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another.

9. Dispute Resolution

Arbitration: You and Call Relay agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, or to the use of the Services (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. This arbitration provision may not be enforceable in all jurisdictions and is subject to applicable state, federal, and international laws.

Class Action Waiver: You and Call Relay agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Jurisdiction: These Terms shall be governed by the laws of the State of Delaware without respect to its conflict of laws principles.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
