1. Acceptance of Terms

Welcome to Call Relay, owned and operated by Call Relay Inc. (collectively, "Call Relay", "we", "us", or "our"). Call Relay provides a platform that connects users seeking advice or conversation ("Callers") with users providing such services ("Experts") via telephone (collectively, the "Services"), accessible at www.callrelay.app (the "Site").

By using the Site and Services, you agree to comply with and be legally bound by these Terms of Service ("Terms"), whether or not you become a registered user. If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Site.

IMPORTANT: These Terms include a binding arbitration provision and class action waiver in the Dispute Resolution section below. Please read it carefully. Note that arbitration provisions may not be enforceable in all jurisdictions and may be subject to applicable laws.

2. Eligibility — 18 or Older

The Services are intended solely for adults. You must be at least 18 years old — or the age of majority in your jurisdiction, if higher — to access or use the Services. Any access to or use of the Services by anyone under this age is expressly prohibited.

By accessing or using the Services, and each time you do so, you represent and warrant that: (a) you are at least 18 years old (or the age of majority in your jurisdiction, if higher); (b) all age, identity, and registration information you provide is true, accurate, and current; and (c) you will not permit any person under 18 to access or use the Services through your account, payment method, or device.

We may, at any time and in our sole discretion, request reasonable verification of your age or identity, and we may refuse, suspend, restrict, or terminate access to any account we believe is held or used by a person under 18, or that has provided false age information. Providing false age information is a material breach of these Terms.

3. How Call Relay Works

Call Relay is a technology platform that facilitates telephone connections between Callers and Experts. Call Relay acts solely as an interface to facilitate these communications and the corresponding payments.

Neutral Platform: Call Relay is a neutral communications and payment tool. We do not host, publish, list, rank, promote, advertise, or recommend any user or any service a user offers, and we do not create, curate, screen, or control the content of any call. We do not choose who you connect with; a connection happens only because a user has chosen to share their own private connection link. The Site is not a directory or marketplace and displays no public user listings or profiles. You alone decide what service (if any) you offer or seek, the rate for it, and what is said on your calls, and you are solely responsible for that activity and for complying with every law that applies to it.

No Endorsement: Call Relay does not provide advice, information, or consulting services. We do not verify the credentials, identity, or qualifications of any Expert. You understand and acknowledge that Experts are independent contractors, not employees or agents of Call Relay. We are not responsible for any information or advice exchanged between users.

4. User Accounts

To use the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Financial Terms

For Callers

• Fees: You agree to pay the per-minute rate set by the Expert for any calls you initiate. Rates are quoted in U.S. dollars.
• Billing: Charges are calculated based on the actual duration of the call. You authorize Call Relay to charge your payment method (via our third-party payment processor) immediately upon the conclusion of a call.
• No Refunds on Connected Calls: Because the Service is real-time, pay-per-minute interaction, all charges for connected calls are non-refundable — including where you are dissatisfied with the advice or the outcome. Calls that never connect are not charged. If a technical failure of the Call Relay platform prevents a call from connecting, drops a connected call, or causes you to be charged for time you did not use, we will credit the affected amount to your Wallet as your sole remedy for that call.

Your Call Relay Wallet

Calls are paid for using a prepaid balance associated with your account (your "Wallet"). You add funds to your Wallet in advance, and charges for calls you initiate are deducted from your Wallet balance. If your available balance is used up during a call, the call may be ended automatically.

• Stored Value Only: Funds added to your Wallet are held solely as prepaid credit toward the Services. Your Wallet is not a bank account, does not constitute a deposit with a financial institution, and earns no interest. Wallet funds may be used only to pay for the Services and have no cash value except as expressly provided below or as required by applicable law.
• No Expiration: Funds you add to your Wallet do not expire. They remain available for use on the Services until they are applied to charges, refunded to you, or remitted to a governmental authority as required by applicable unclaimed-property law.
• Refund of Unused Balance: You may request a refund of funds you have deposited but not yet spent on a call by contacting us. Approved refunds are returned to your original payment method and are subject to identity verification and fraud review. Charges for calls that have already been connected remain subject to the "No Refunds" provision above.
• Chargebacks: If you initiate a chargeback or payment dispute on funds added to your Wallet, we may suspend or terminate your account, and we may offset the disputed amount against your remaining Wallet balance.
• Dormant Accounts: If your account remains inactive for an extended period, any remaining Wallet balance may be treated as unclaimed property and may be remitted to the appropriate governmental authority in accordance with applicable escheatment laws.

For Experts

• Service Fee: In consideration for providing the Platform, Call Relay charges a Service Fee of 20% of the total transaction amount. You (the Expert) retain 80% of the Appointment Fees collected on your behalf.
• Payouts: Net earnings are remitted to you through our third-party payment processor. You must maintain a valid, verified payout account with that processor to receive payouts.
• Independent Contractor: You acknowledge that you are an independent contractor. You are solely responsible for determining your applicable tax reporting requirements and paying all applicable taxes on your earnings.

6. User Conduct

You agree not to:

• Use the Site for any illegal purpose or in violation of any local, state, national, or international law.
• Harass, threaten, demean, embarrass, or otherwise cause distress to another user.
• Minors: Solicit, contact, or attempt to contact any person under 18 through the Services, or create, request, share, or transmit any content that sexualizes, exploits, or endangers a minor.
• Circumvention: Solicit or provide contact information (such as phone numbers, email addresses, or handles) to other users for the purpose of making payments outside of the Call Relay platform ("Off-Platform"). Doing so is a violation of these Terms and may result in immediate account termination.
• Record calls without the consent of all parties, unless explicitly permitted by applicable law.

Zero Tolerance for Child Exploitation: We have zero tolerance for child sexual abuse material or the exploitation of minors in any form. Accounts engaged in such activity will be terminated immediately, and we will preserve relevant records and report the activity to the National Center for Missing & Exploited Children (NCMEC) and/or law enforcement as required by applicable law.

7. Acceptable Use; Prohibited Services

You are solely responsible for the service you provide or seek through the Services and for ensuring it is lawful. Because Call Relay does not list, review, or control what users offer, you agree that you will not use the Services to offer, request, arrange, advertise, solicit, facilitate, or pay for any of the following:

• Illegal goods or services of any kind, or any activity that is unlawful where you are located or where the activity occurs.
• Prostitution, escort services, or any in-person commercial sexual activity, or use of a call to arrange, negotiate, or pay for any such in-person activity. The Services are for remote voice communication only and may not be used as a means to organize an illegal in-person transaction.
• Human trafficking, or any commercial sexual activity involving a minor or any person who has not freely consented.
• Any activity involving a minor, consistent with the User Conduct and zero-tolerance provisions above.
• Fraud, money laundering, or the sale of stolen or counterfeit items, or use of the Services to evade payment, taxes, or applicable law.

Lawful adult communication. Call Relay does not restrict lawful conversation between consenting adults on the basis of its subject matter, and calls may include frank or sexually explicit conversation where that is legal and is conducted solely by voice between verified adults. This does not permit anything prohibited above — in particular, lawful adult conversation may not be used as a cover for prostitution or for arranging any illegal in-person activity.

We may suspend or terminate any account, and remove any user's access, that we reasonably believe violates this section, and we may report unlawful activity to law enforcement or other appropriate authorities.

8. Identity and Age Verification

To use the Services — and in particular before you may receive payment as an Expert, or send or receive age-restricted or sexually explicit communications — we may require you to verify your identity and that you are at least 18 years old. Verification may be performed by Call Relay or by trusted third-party identity-verification providers acting on our behalf, and may require a government-issued identification document, your date of birth, a photograph or selfie, and similar information.

You agree to provide accurate verification information and consent to our and our providers' processing of it for verification, fraud-prevention, legal-compliance, and record-keeping purposes, as described in our Privacy Policy. We may refuse, suspend, or terminate access, withhold payouts, or limit features for any account that fails or declines verification, or that we reasonably believe has provided false or fraudulent information. Attempting to evade or circumvent age or identity verification is a material breach of these Terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALL RELAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

10. Indemnification

You agree to release, indemnify, and hold Call Relay and its affiliates, officers, employees, and agents harmless from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind and injury (including death) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another.

11. Dispute Resolution

Arbitration: You and Call Relay agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, or to the use of the Services (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. This arbitration provision may not be enforceable in all jurisdictions and is subject to applicable state, federal, and international laws.

Class Action Waiver: You and Call Relay agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Jurisdiction: These Terms shall be governed by the laws of the State of Delaware without respect to its conflict of laws principles.

12. Termination; Reporting and Enforcement

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Reporting and enforcement. You can report suspected illegal activity or violations of these Terms by contacting us. We review reports we receive and information that otherwise comes to our attention, and we may investigate, suspend or terminate accounts, preserve and disclose records, and notify law enforcement where we believe in good faith that doing so is appropriate or legally required. We do not monitor the content of calls, and our ability to act on a particular call depends on it being reported to us.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
